Terms and Conditions for Vocal Reel Service by The Accompanist

Postponement and Cancellation Policy:

For all cancellations, excluding sessions purchased via gift card or short sessions, a cancellation fee of 25% of the original session cost will be charged. This fee will be deducted from the final cost of the vocal reel service. Clients must arrange and complete the new booking and payment within 48 hours of the first cancellation notification; otherwise, the policy becomes void. For example, for a standard Vocal Reel:

a) First Cancellation: After paying the initial deposit of £51.25, an additional £51.25 will be due, reducing the balance payable on the day to £102.50. b) Second Cancellation: An additional £51.25 will be added, leaving £51.25 payable on the day. c) Third Cancellation: A further £51.25 will be added, resulting in no balance payable on the day. d) Fourth Cancellation: After four cancellations, this policy is void. The client must rebook their service, pay a new deposit of £51.25, and restart the cancellation fee process.

For short sessions (1 hour/2 songs), if the client postpones, the remaining fee of £75 becomes due within 48 hours of the postponement notification. Failure to pay the balance within this timeframe will void the deposit.

Cancellations made within 72 hours of a scheduled session, where required backing tracks or other materials have not been provided, will render this policy void. Clients in this scenario must pay a new deposit, and any session discounts will no longer apply.

Giveaways and Discounts: Clients benefiting from discounted sessions must pay all fees (except the deposit) in cash on the day of the session. Discounted sessions are not covered by the standard cancellation policy. If a discounted session is canceled, the discount will be void, and standard rates will apply.

Gift Cards: Clients using gift cards are entitled to one reschedule free of charge. Subsequent reschedules will require a new deposit of £51.25, with the remaining balance of £153.75 payable on the session day.

Refunds: a) Client-Initiated Cancellations: Refunds are not available after the deposit has been paid. Additional cancellations will incur fees, and no refunds will be provided for payments already made. b) Service-Initiated Rescheduling: If The Accompanist Vocal Reels reschedules a session, refunds may be issued at the service's discretion, depending on the circumstances and availability.

Rescheduling:

• First Postponement: Clients may reschedule once without charge.

• Subsequent Postponements: These will be treated as cancellations and incur a £50 fee per occurrence.

• No-Shows: Clients who fail to attend their scheduled session without prior notice forfeit all payments and must rebook with a new deposit and full payment.

• Exceptional Circumstances: Emergencies (e.g., medical issues, extreme weather) will be reviewed on a case-by-case basis, and fees may be waived at the service's discretion.

Media Usage: The Accompanist Vocal Reels reserves the right to use clips from client reels for promotional purposes unless a written agreement states otherwise. By availing of the service, clients grant a non-exclusive, royalty-free license for this usage.

Backing Tracks: Requests for recording or sourcing backing tracks will incur additional charges. These charges will be agreed upon in a formal contract and invoiced separately. Payment is required within the agreed timeframe.

Song Limitations: Clients may select up to five 1-minute song cuts per vocal reel. This ensures efficient resource use and maintains the quality of the final product.

Session Requirements: Clients must review and select their preferred audio and video takes during the session and determine the order of songs before the session concludes. Failure to do so will result in additional charges for sending materials post-session, as outlined in the contract.

Revision Policy: Clients are entitled to one complimentary revision (e.g., reordering videos, changing audio). Subsequent revisions will incur an editing fee of £72 per hour, billed in 30-minute increments.

Modification of Terms: The Accompanist Vocal Reels reserves the right to amend these terms at any time. Changes will be communicated in writing and take immediate effect upon posting. Continued use of the service constitutes acceptance of the updated terms.

Confidentiality: Both parties agree to maintain confidentiality regarding proprietary information shared during service provision. This includes client data, session details, and creative concepts. Breaches of confidentiality may result in legal action.

Governing Law: This agreement is governed by the laws of the United Kingdom. Disputes will be subject to the exclusive jurisdiction of UK courts.

Severability: If any provision of this agreement is deemed invalid or unenforceable, the remaining provisions shall remain in effect. The parties agree to negotiate in good faith to replace invalid provisions with enforceable ones.

Indemnification: Clients agree to indemnify and hold harmless The Accompanist Vocal Reels and its representatives from claims or damages arising from the client's use of the service, including breaches of this agreement.

Assignment: Clients may not transfer rights or obligations under this agreement without written consent from The Accompanist Vocal Reels.

Waiver: Failure to enforce any provision of this agreement does not constitute a waiver of that provision. Waivers must be in writing and signed by the relevant party.

Notices: Notices must be in writing and delivered personally, via registered mail, or by a recognized courier service.

Survival: Provisions related to confidentiality, indemnification, and governing law will survive termination of this agreement.

Force Majeure: Neither party will be liable for delays or failures caused by circumstances beyond their control, such as natural disasters or emergencies.

Entire Agreement: This document constitutes the entire agreement between the parties, superseding all prior agreements.

Non-Disparagement: Clients agree not to make disparaging remarks about The Accompanist Vocal Reels or its affiliates during or after the agreement term.

Successors and Assigns: This agreement is binding on the parties and their respective successors and assigns.

Relationship of the Parties: Nothing in this agreement creates an agency, partnership, or joint venture between the parties.

Insurance: Clients are responsible for maintaining appropriate insurance coverage for liabilities related to the service.

Termination: Either party may terminate this agreement with written notice if the other party materially breaches the terms and fails to remedy the breach within the specified period.

Waiver of Jury Trial: Both parties waive the right to a jury trial for disputes arising from this agreement.

Construction: This agreement shall not be construed against the drafting party.

Execution: This agreement may be executed electronically or via facsimile, with such copies deemed originals.

By engaging The Accompanist Vocal Reels, clients agree to these terms and conditions. Exceptions or modifications must be documented in writing and agreed upon by both parties.
