Terms and Conditions for Vocal Reel Service by The Accompanist

1. Regular Sessions Cancellation Policy

​

a) Clients are entitled to reschedule their session once only. Any further rescheduling requests will not be accommodated and shall be treated as cancellations subject to the forfeiture of any payments made.

b) If a client postpones their session, they must select a new date and pay the remaining session balance in full within twenty-four (24) hours of notifying The Accompanist of their intent to cancel/reschedule. The new date will not be confirmed until this payment is received. Failure to pay the outstanding balance within this window will result in the loss of the right to reschedule.

c) If the client does not wish to pay the full remaining balance at the time of cancellation, but would like to retain the option of rescheduling, they may pay a new deposit equal to the original deposit amount. This will allow them to book a new session date, subject to availability. The original deposit will remain non-refundable.

d) If a cancellation or reschedule request is made within seventy-two (72) hours of the scheduled session and the required session materials (e.g., backing tracks, sheet music, etc.) have not been submitted, this will be treated as the client being unprepared. In such cases, the cancellation policy is voided and all previous payments will be forfeited.

e) If a client communicates directly that they are not prepared for the session, this will also be considered a forfeiture of the session. No refund or rescheduling entitlement will apply in such cases.

2. Session Requirements

a) Clients shall submit all required backing tracks and associated materials no later than three (3) days prior to the scheduled session date, to allow sufficient time for review and quality assurance.
– Submissions received after this window may incur additional fees to cover late preparation or necessary modifications.
– In the event that required materials are not submitted and/or payment is not received at least twenty-four (24) hours in advance of the scheduled session, The Accompanist reserves the right to postpone or reschedule the session at its sole discretion.

b) Clients are required to review and select their preferred audio and video takes during the session and must confirm the final sequence and order of selected songs prior to the conclusion of the session.

i) Failure to complete these selections during the session shall result in additional charges for post-session preparation, editing, and/or transmission of materials, in accordance with the terms set forth in the client agreement.

3. Revision Policy

a) Clients shall be entitled to one complimentary revision, which may include reordering videos or modifying audio arrangements.

i) Any additional revisions shall incur an editing fee of £105 per hour, billed in 30-minute increments.

ii) Clients who fail to allocate sufficient time within the session to review their recorded material shall forfeit their right to a complimentary revision.

4. Discounts

a) Clients availing themselves of discounted session rates must remit all outstanding fees (excluding the deposit) in cash on the date of the session.

i) Discounted sessions shall not be subject to the standard cancellation policy. In the event of rescheduling, the full standard session fee shall apply, and any previously granted discount shall be rendered void.

ii) If a discounted session is canceled, the client shall be required to rebook at standard rates, with no reinstatement of prior discounts.

5. Gift Cards

a) Clients redeeming gift cards shall be entitled to one complimentary rescheduling.

i) Any subsequent rescheduling shall necessitate the payment of a new deposit, with the outstanding balance payable on the session date.

6. Pay-in-Advance Discount & Rescheduling

a) Clients who secure a discounted session by paying in advance may reschedule under the following conditions:

i) If at least 14 days’ notice is provided, the client shall be required to pay the difference between the discounted rate and the standard session rate.

ii) If less than 7 days’ notice is provided, the client shall be required to pay the difference between the discounted rate and the standard session rate, in addition to a new deposit.

iii) If rescheduling occurs within 3 days of the scheduled session and the required materials have not been submitted, all payments made shall be forfeited. To rebook, the client shall be required to submit a new deposit and pay the full remaining balance on the day of the rescheduled session.

iv) No refunds or additional discounts shall be granted in the event of rescheduling.

7. Refunds

a) Refunds shall not be available following the payment of a deposit. Any subsequent cancellations shall be subject to additional fees, and all payments made shall be non-refundable.

b) In cases where The Accompanist reschedules a session, a refund may be granted at its sole discretion, subject to availability and circumstances.

8. Backing Tracks

a) Any requests for the recording or procurement of backing tracks shall incur additional charges, which shall be stipulated in a formal contract and invoiced separately.

b) Payment for such services shall be required within the agreed-upon timeframe.

9. Song Limitations

a) The number of song selections permitted per session type shall be as follows:

  • Spotlight Session (2.5 hours): A maximum of five (5) one-minute song cuts.

  • Saver Session (1.5 hours): A maximum of three (3) one-minute song cuts.

  • Short Session (1 hour): A maximum of two (2) one-minute song cuts.

  • Shared Session: A maximum of three (3) one-minute song cuts per participant.

10. Media Usage

a) The Accompanist reserves the right to utilize clips from client vocal reels for promotional purposes unless a written agreement stipulates otherwise.

b) By engaging the service, the client grants The Accompanist a non-exclusive, royalty-free license for such usage.

11. Modification of Terms

a) The Accompanist reserves the right to amend these terms at any time.

i) Changes shall be communicated in writing and shall take immediate effect upon posting.

ii) Continued use of the service shall constitute acceptance of the updated terms.

12. Confidentiality

a) Both parties agree to maintain confidentiality concerning proprietary information shared during the provision of services.

i) Any breach of confidentiality may result in legal action.

13. Governing Law

a) This agreement shall be governed by and construed in accordance with the laws of the United Kingdom.

i) Any disputes arising under this agreement shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

14. Severability

a) If any provision of this agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

i) The parties shall negotiate in good faith to replace any invalid provisions with enforceable ones.

15. Indemnification

a) Clients agree to indemnify and hold harmless The Accompanist and its representatives from any claims, liabilities, or damages arising from the client's use of the service, including any breaches of this agreement.

16. Assignment

a) Clients shall not assign or transfer any rights or obligations under this agreement without prior written consent from The Accompanist.

17. Waiver

a) Failure to enforce any provision of this agreement shall not be deemed a waiver of such provision.

i) Any waiver must be made in writing and signed by the relevant party.

18. Notices

a) All notices under this agreement shall be made in writing and delivered personally, via registered mail, or through a recognized courier service.

19. Survival

a) Provisions concerning confidentiality, indemnification, and governing law shall survive the termination of this agreement.

20. Force Majeure

a) Neither party shall be held liable for delays or failures in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, acts of government, or emergencies.

21. Entire Agreement

a) This document constitutes the entire agreement between the parties, superseding all prior agreements and understandings.

22. Non-Disparagement

a) Clients agree not to make any public statements, written or verbal, that may reasonably be construed as derogatory or defamatory toward The Accompanist.

23. Successors and Assigns

a) This agreement shall be binding upon and inure to the benefit of the parties and their respective successors and assigns.
